Abstract:
This talk is based on a paper discussing the introduction of the stricter rules about corporations that were introduced with the first ever Norwegian corporate act that was passed in 1910. We argue that these new rules represented sophisticated German legal thinking that facilitated a division between the corporation as such and its shareholders. Thus the company (“the corporation”) was freed. Seen in a longer perspective, however, the new act does not represent a break with the traditional freedom of contract, continuing the Norwegian legacy of free corporate formation.
